    Terms & Conditions for Sales Partners of the Saybuuy brand

  • The sales agency for Saybuuy products is limited to the agent’s province and the mobile & computer sector. The agent must sell within the defined geography and sector according to the official price list, and refrain from selling outside the territory or at different prices.
  • The contract is valid for one year and can be extended by mutual agreement.
  • Each order must be settled within one week of the pro forma invoice by cash transfer or a registered bank check mailed to the first party.
  • Based on Social Security Circular No. 108, this agreement is not subject to social insurance deductions.
  • The agent shall keep all documents and information received confidential and shall not disclose them to any third party without written consent. Upon termination, all materials must be returned.
  • The agent must stock at least 70% of Saybuuy’s product variety and follow company rules for minimum order quantities.
  • Online sales (website/social) must follow the official price list.
  • Distributors based in Tehran with customers nationwide may market in other cities provided they do not sell below the wholesale list price, nor poach customers who already display Saybuuy products.
  • To ensure financial commitment, the agent shall provide a guarantee (check/bill/bank guarantee) equal to three times the target amount. If the target increases, the guarantee must be increased accordingly.
  • Force majeure (e.g., earthquake, war) suspends obligations until resolved, with no liability during suspension.
  • If any clause is breached or performance is unsatisfactory, the company may unilaterally terminate and recover any promotional expenses from the agent.
  • All IP rights of the Saybuuy brand belong to the company; misuse is prohibited.
  • The agent may not assign the agreement in whole or part; otherwise, the company may terminate and seek damages.
  • All after-sales service for end customers is performed through the agent in coordination with the company.
  • Required documents include copies of ID, business license, store deed/lease, and a check leaf of the current account of the agent and guarantor.
